Courier Services Agreement
Signed once during onboarding, then month-to-month — no repeat paperwork.
1. Scope of Services
DentDash Express will provide dental courier and logistics services, including the pickup and delivery of lab cases, crowns, dentures, impressions, aligners and retainers, surgical guides, dental supplies, and related materials between dental offices and dental laboratories.
2. Service Hours
Standard service hours are Monday through Friday, 8:00 AM to 4:30 PM, with 4:30 PM as the last scheduled pickup time of the day. Requests outside these hours are handled as after-hours or emergency service under the pricing in Section 3.
3. Pricing
The following rates apply unless otherwise agreed in writing:
- Weekly Contract: $400 per week for scheduled Monday–Friday routes.
- Daily Pickup: $90 per day, no contract required.
- Emergency / Same-Day Pickup: $130 per pickup, plus $40 additional for after-hours (after 5:00 PM) requests under an active Weekly Contract.
- Mileage: $1.50 per mile for distances outside a 10-mile radius from the standard coverage area.
4. Cancellation
Clients under a Weekly Contract must provide seven (7) days’ written notice to cancel or modify their contract. Cancellation or modification with less notice may still be billed for the remainder of the notice period.
5. Chain of Custody
DentDash Express maintains a chain-of-custody record for every pickup and delivery, including the timestamp, status, courier identity, photo, and signature confirming hand-off.
6. Confidentiality and PHI Handling
The handling of Protected Health Information encountered in the course of providing services is governed by the separate Business Associate Agreement between the parties, which is incorporated into this Agreement by reference.
7. Term and Termination
This Agreement continues until terminated by either party in accordance with the notice requirements in Section 4, or immediately by either party for material breach not cured within thirty (30) days of written notice.
8. General Provisions
Governing law. This Agreement is governed by the laws of the State of Ohio.
Independent contractor. Nothing in this Agreement creates an employment, partnership, or joint venture relationship between the parties.
